YOU HAVE ACKNOWLEDGED THAT YOU UNDERSTAND AND AGREE TO ALL OF THESE TERMS IF YOU HAVE SUBSCRIBED TO OR OTHERWISE ACCESS OR USE THE SERVICES FROM VISA BUSINESS AND ECONOMIC INSIGHTS. THESE TERMS REPLACE ALL PRIOR TERMS WITH RESPECT TO VISA BUSINESS AND ECONOMIC INSIGHTS.
As used in these Terms, the Services shall mean all current and future publications from Visa Business and Economic Insights, such as the U.S. Economic Outlook, Spending Momentum Index, Travel Insights, Global Economic Insights, including the logos, designs, text, images, videos, graphics, software and other content and materials of Visa or its licensors available from Visa Business and Economic Insights, and the selection and arrangement thereof.
These Terms are a binding contract and govern your use and access to the Services. By accessing the Services, you agree to be bound by these Terms as of the date of such access without limitation or qualification, and acknowledge that any other agreements you may have with Visa are superseded by these Terms, to the extent any conflict exists.
The purpose of these Terms is to establish the terms and conditions upon which you obtain and subscribe to the Services.
Your access to and use of the Services is subject to all applicable international, federal, state and local laws and regulations. Unless otherwise specifically indicated, you may download the Services for personal, non-commercial use only. You may not distribute, modify, copy, publish, transmit, display, sell, license, use, reuse or create derivative works of the Services or any of the contents of or material displayed on the Services for any public or commercial purpose without the written consent of Visa or any third party Visa deems necessary. You must retain all copyright and other proprietary notices on downloaded and/or copied material from the Services. Any copy of the publications from Visa Business and Economic Insights or any other part of the Services you make and distribute for any purpose must also include these Terms.

THE SERVICES ARE PROVIDED "AS IS" AND WITH ALL FAULTS, AND THE ENTIRE RISK AS TO SATISFACTORY QUALITY, PERFORMANCE, ACCURACY AND EFFORT IS WITH THE USER. THIS MEANS THAT VISA MAKES NO WARRANTIES OR REPRESENTATIONS AS TO THE ACCURACY OF THE SERVICES. VISA MAKES NO WARRANTY, EITHER EXPRESS OR IMPLIED, THAT ANY INFORMATION OR DATA PROVIDED IN THE SERVICES IS EITHER MERCHANTABLE OR ACCURATE, THAT SUCH INFORMATION OR DATA WILL FULFILL ANY OF YOUR PARTICULAR PURPOSES OR NEEDS, OR THAT SUCH INFORMATION OR DATA DOES NOT INFRINGE ON ANY THIRD PARTY RIGHTS. VISA ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY ERRORS OR OMISSIONS IN THE SERVICES.
YOUR USE OF THE SERVICES IS AT YOUR OWN RISK. TO THE MAXIMUM EXTENT ALLOWED BY LAW, NEITHER VISA NOR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE SERVICES, WILL BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, LOST PROFITS, COST OF PROCURING SUBSTITUTE SERVICE OR LOST OPPORTUNITY), HOWEVER CAUSED, ARISING OUT OF YOUR ACCESS TO, USE OF, OR RELIANCE ON THE SERVICES, EVEN IF VISA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. WITHOUT LIMITING THE FOREGOING, VISA ASSUMES NO RESPONSIBILITY FOR, AND WILL NOT BE LIABLE FOR ANY DAMAGES RELATING TO OR CAUSED BY ANY VIRUSES WHICH MAY AFFECT YOUR COMPUTER EQUIPMENT OR OTHER PROPERTY ON ACCOUNT OF YOUR ACCESS TO, USE OF, OR DOWNLOADING OF THE SERVICES. VISA CANNOT AND DOES NOT GUARANTEE CONTINUOUS, UNINTERRUPTED OR SECURE ACCESS TO THE SERVICES.
SOME JURISDICTIONS DO NOT ALLOW THE DISCLAIMER, EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES, LIABILITIES AND DAMAGES, SO SOME OF THE ABOVE DISCLAIMERS, EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, VISA’S LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. NOTHING IN THESE TERMS EXCLUDES THE VISA’S LIABILITY FOR ANY MATTER WHICH IT WOULD BE ILLEGAL FOR THE VISA PARTIES TO EXCLUDE OR LIMIT OR ATTEMPT TO EXCLUDE OR LIMIT LIABILITY.
Visa has not reviewed all of the sites that are linked in the services, and the fact of such links or references does not indicate any approval or endorsement of any material contained on any site. Visa is not responsible for the contents of any site linked to the Visa Site. Your connection to and use of any such linked site is at your own risk.

Your continued use of the Visa Solution after any changes, modifications or improvements have been made to any or all aspects of the Services will be construed to be your acceptance of such changes, modifications or improvements, and the applicability of these Terms to the Services with such changes, modifications or improvements.
If you do not agree with any of these Terms, you must not use the Services. Visa reserves the right, in its sole discretion, to modify these Terms at any time. Visa may suspend, discontinue or terminate your access to or use of the Visa Solution at any time, immediately and without prior notice or obligation to you, (i) if you violate any of these Terms, or (ii) for any other commercially reasonable reason, in Visa's sole discretion. Visa shall not be liable to you for any suspension, discontinuance, termination, change or modification of your use of or access to the Services. Upon termination, you remain liable for all payments and other obligations you have incurred under these Terms.
Visa’s failure or delay to exercise or enforce any provision or right contained in these Terms shall not be deemed a waiver of such provision or right.
These Terms constitute the entire agreement between Visa and you with respect to your use of the Services.
You and Visa agree that if any provision of these Terms is deemed unlawful, void (including by virtue of law) or for any reason unenforceable by a court of competent jurisdiction, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.
